Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Exotic Motors ("Exotic Motors", "we", "us"), the operator of E-Sign Auto (the "Service") at esignauto.com. By creating an account, checking the agreement box, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service. Section 15 contains a binding arbitration agreement and class action waiver.

1. Eligibility and accounts

You must be at least 18 and able to form a binding contract. You are responsible for your account, keeping your password confidential, and all activity under it. If you use the Service for an organization, you represent that you may bind it.

2. Not a law firm; no legal advice

E-Sign Auto is not a law firm and does not provide legal advice. No attorney-client relationship is created by your use of the Service. Templates, sample language, state-law notes and any other content are provided "as is" for general information, may not be suitable for your situation or jurisdiction, and may be incomplete or out of date. Consult a licensed attorney before relying on any document.

3. Your documents and responsibility

You are solely responsible for the content, accuracy, legality and enforceability of documents you upload, create, send or sign, for choosing the correct signers, and for complying with laws that apply to your transactions (including any requirement for witnesses, notarization, wet-ink signatures, specific disclosures or record retention). You retain ownership of your content and grant us a limited license to host, process and transmit it solely to provide the Service.

4. AI features

AI Auto-Prep, Use My Highlights, Fill All and AI Fix & Resend are automated tools that can make mistakes, miss fields, place fields incorrectly or propose wrong changes. You must review every field, value, recipient and change before sending or signing. AI outputs are suggestions only; you are responsible for anything you send or sign, and we are not liable for errors in AI outputs.

5. Electronic signatures and records

The Service is designed to support electronic signatures under the U.S. ESIGN Act and state UETA laws. Senders are responsible for obtaining any required consumer consent and providing required disclosures, and for determining whether electronic signatures are appropriate for a given document. Some documents (for example certain wills, notarized instruments, court filings and some vehicle title documents) may not be valid when signed electronically. We record an audit trail (signer email, IP address, timestamps and a document hash) and attach a certificate of completion to completed documents, but we do not guarantee that any document will be enforceable.

6. Acceptable use

You will not use the Service to: break any law; commit fraud, forgery, identity theft or impersonation; obtain signatures without authority or by deception; send spam or harassing messages; upload malware or content that infringes others' rights; attempt to access other users' data or disrupt or reverse engineer the Service; or resell the Service without permission.

7. Community templates and copyright (DMCA)

If you share a template publicly, you represent that you have the right to share it and grant us and other users a non-exclusive, royalty-free license to use, copy and adapt it. We may review, edit, reject or remove any submission. If you believe content on the Service infringes your copyright, send a notice with: your contact details; identification of the work and the infringing material (URL); a statement of good-faith belief that the use is unauthorized; a statement, under penalty of perjury, that the notice is accurate and you are authorized to act; and your physical or electronic signature, to our designated agent at support@esignauto.com (subject "DMCA notice"). We may remove material and terminate repeat infringers. Counter-notices may be sent to the same address.

8. Plans, subscriptions and automatic renewal

The Free plan is $0 and includes 10 documents per month; Free documents are not stored (completed PDFs are emailed to all parties and deleted from our storage 7 days after completion). Pro costs $9.99 for the first month, then automatically renews at $29.99 per month (plus any applicable taxes) until you cancel. By subscribing you authorize us, through our payment processor Stripe, to charge your payment method each month. You can cancel anytime from your Account page ("Manage billing") or by contacting us; cancellation stops future renewals and Pro remains active until the end of the current paid period. Except where required by law, payments are non-refundable and we do not provide refunds or credits for partial months. We may change prices with at least 30 days' notice by email; changes apply at your next renewal. If a payment fails, we may downgrade your account to Free.

9. Storage and data

Pro accounts include 100 MB of document storage. You are responsible for keeping your own copies of important documents. We are not responsible for loss of data, including documents deleted under the Free plan retention rule or after account closure.

10. Termination

You may close your account at any time. We may suspend or terminate your access at any time if we reasonably believe you violated these Terms, created risk or legal exposure for us or others, or for non-payment. Sections 2–4, 7 and 9–17 survive termination.

11. Disclaimer of warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE, TEMPLATES AND AI OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, OR THAT ANY DOCUMENT WILL BE LEGALLY VALID OR ENFORCEABLE.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, EXOTIC MOTORS AND ITS OWNERS, OFFICERS, EMPLOYEES AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, OR FOR THE INVALIDITY OR UNENFORCEABILITY OF ANY DOCUMENT, ARISING FROM OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR (B) US $50. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

13. Indemnification

You will defend, indemnify and hold harmless Exotic Motors and its owners, officers, employees and agents from any claims, damages, losses and expenses (including reasonable attorneys' fees) arising from your documents, your use of the Service or AI outputs, your transactions with signers or other parties, or your violation of these Terms or any law or third-party right.

14. Governing law

These Terms are governed by the laws of the State of Georgia, USA, without regard to conflict-of-law rules, and the Federal Arbitration Act. Subject to Section 15, the state and federal courts located in Georgia have exclusive jurisdiction.

15. Arbitration and class action waiver

Any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, seated in Georgia (or by video), instead of in court; either party may bring an individual claim in small claims court. You and we waive any right to a jury trial and to participate in a class, collective or representative action. Before filing, the claimant must send a written notice and try to resolve the dispute informally for 30 days. You may opt out of this Section within 30 days of first accepting these Terms by emailing support@esignauto.com with the subject "Arbitration opt-out". If the class action waiver is found unenforceable, this Section 15 is void for that claim.

16. Changes

We may update these Terms. Material changes will be posted here with a new effective date and, where appropriate, emailed to you. Continued use after the effective date means you accept the changes.

17. General

These Terms and the Privacy Policy are the entire agreement between you and us about the Service. If any provision is unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent.

Disclaimer and User Responsibility

E-Sign Auto (operated by Mistrys Group) provides software tools for preparing, sending and electronically signing documents. We are not a law firm and do not provide legal, tax, financial or other professional advice. Templates and AI-assisted features are general starting points only, may not suit your situation or jurisdiction, and may contain errors or omissions.

You are solely responsible for reviewing every document before you send or sign it. That includes the accuracy and completeness of its content, names, dates, amounts, vehicle and property details, signer identities and contact information, signature and field placement, and whether the document is legally valid and enforceable for your purpose. You are also responsible for confirming each signer's identity and authority, and for complying with all laws that apply to you, including e-signature laws (ESIGN and UETA) and any requirement for notarization, witnesses or wet-ink signatures.

The service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not guarantee that the service will be uninterrupted, error-free or secure, or that any document will be accepted by a court, agency, lender, DMV or other third party.

To the fullest extent permitted by law, E-Sign Auto, Mistrys Group and their owners, employees, affiliates and agents are not liable for any direct, indirect, incidental, consequential, special or punitive damages, or for lost profits, data, or deals. This covers losses arising from documents, templates, signatures, data entry or system errors, delays, delivery failures, or your use of or reliance on the service. Our total liability for any claim will not exceed the amount you paid us in the 12 months before the claim.

You agree to indemnify and hold harmless E-Sign Auto, Mistrys Group and their affiliates from any claims, damages or expenses, including attorneys' fees, arising from your documents, your use of the service, or your breach of these terms. By using the service, you acknowledge that you have read and accepted this disclaimer. If you need legal advice, consult a licensed attorney.
